Panama S.A.
A corporate structure refined over a century.
Explore
Panama S.A.
Governed by Law 32 of 1927, taxed only on Panamanian income, incorporated in days without setting foot in Panama.
What it is
The Sociedad Anónima, Panama's standard corporation.
Old enough to be settled law, current enough to be fully compliant.
Law 32 of 1927, modelled on Delaware corporation law, is among the oldest corporate frameworks in continuous use anywhere.
Panama left the FATF grey list in October 2023 and the EU high risk list in March 2024, so the territorial advantages now sit inside a recognised, compliant jurisdiction. It remains the vehicle of choice for international traders, holding companies, asset protection structures and globally mobile entrepreneurs.
The advantages
Six reasons it keeps being chosen.
Each one is structural, written into the law rather than marketed around it.
-
01
Territorial taxation
Panama taxes income earned inside Panama. A company operating entirely abroad pays no local corporate income tax. Its one mandatory annual payment is the USD 300 franchise tax.
-
02
Ownership flexibility
Corporate directors are allowed, meetings can be held anywhere, share classes are designed freely, and no local directors or shareholders are required.
-
03
No minimum capital
Nothing must be deposited at formation. The company is operational without parking funds in Panama.
-
04
Privacy within compliance
Beneficial owner details sit with the registered agent and the closed registry, not public records, under modern KYC and AML standards.
-
05
No physical presence
No office, no local staff, no in country operations required for full legal standing.
-
06
Dollar denomination
The US dollar is legal tender. Dollar transactions carry no conversion and no currency risk.
Any nationality throughout. Only the agent must be Panamanian.
- 3Directors
- The minimum board. Any nationality, individual or corporate, no Panama residence required.
- 1Shareholder
- The minimum ownership. No nationality restriction.
- 1Registered agent
- A licensed Panamanian registered agent is mandatory. It is the company's legal anchor in Panama.
- 0Capital deposit
- No minimum capital is paid in at formation.
Bearer shares must be immobilised with an authorised custodian, consistent with international standards.

Ongoing compliance
A Panama company is kept, not just formed.
Three obligations, all handled under one annual service.
The USD 300 annual franchise tax (Tasa Única) is paid each year. A missed payment adds a USD 50 surcharge for the first period and USD 300 for each period after. Accounting records are maintained for a minimum of five years under Law 254 of 2021, and the beneficial ownership registry is kept current. Penalties for lapses start at USD 5,000. The resident agent must also be renewed each year. We manage all of it under one annual service. Corporate Annual Compliance
For US citizens
A Panama company must be reported at home.
Formed correctly and reported correctly, or not at all.
Form 5471 for controlled foreign corporations, FBAR for foreign accounts over USD 10,000, and Form 8938 under FATCA all continue to apply. An unreported structure creates exposure instead of removing it. We coordinate with US qualified tax professionals on every American engagement.
01
Does Advisory N9 give legal, tax or financial advice?
Advisory N9 acts as a coordination service. We are not authorised to practise law or to provide legal, tax, or financial advice, and we are not a bank, a payment institution, or a money transmitter. We do not hold or transmit funds on behalf of clients. Legal filings, regulated work, and account and merchant approvals are performed and decided by independent licensed professionals and institutions. The contents of this website are for informational purposes only, do not constitute advice of any kind, and do not form part of any engagement. The terms of any engagement are set out separately in writing.
02
Do I pay Panamanian tax on foreign income?
No. Panama taxes income earned in Panama. A company operating entirely abroad owes the USD 300 franchise tax and its compliance filings, not corporate income tax.
03
Do I need to visit Panama?
No. Incorporation runs remotely. Some banks ask for an in person meeting to open accounts. When one does, we arrange it.
04
Who sees my name?
Beneficial ownership is filed with the registered agent and the closed registry, not in public records. Modern KYC and AML standards apply throughout.
05
Can the S.A. hold assets rather than trade?
Yes. Holding property, investments and intellectual property is among its most common uses. Where succession matters, it pairs with a foundation. Foundations and Trusts
06
What happens if compliance lapses?
Fines under Law 254 and possible suspension of corporate rights. The annual service exists so it does not happen.

US Company Formation

Explore
US Company Formation
A US company opens doors a foreign one often cannot: US banks, payment processors and clients.
We handle every step from abroad: the state filing, the registered agent, your EIN without an SSN, and your company documents.
The filing is the easy part
Remote. Compliant. Complete.
No US residency, SSN or travel required.
For founders outside the United States, the difficulty is rarely the formation itself. It is everything around it: a registered agent in the right state, a tax ID issued without an SSN, a bank and a payment processor willing to accept the company, and an annual IRS filing most owners only discover when the penalty arrives.
We handle the full sequence, entirely remotely. We work with an established national registered agent, so your company is compliant from the day it is formed.
What's included
Filed. Registered. Operational.
Everything a new US company needs to exist legally and start working.
-
01
Formation filing
We prepare and file your Articles of Organization for an LLC, or Articles of Incorporation for a corporation, in the state that fits your business.
-
02
Registered agent, first year
Every US company needs a registered agent in its state of formation. Ours receives your official notices and legal documents for the first twelve months.
-
03
EIN (Federal Tax ID)
Optional. Your company's federal tax ID for banking and IRS filings. Without an SSN or ITIN it cannot be obtained online. We file it by fax or mail. Learn more
-
04
Company documents
The founding documents your company needs to operate from day one, prepared for your LLC or corporation and delivered together with your state filing.
Additional services
Moved. Expanded. Maintained.
For new companies that need more, and existing companies that need a better home.
-
01
Registered agent change
Already own a US company? We move it to our registered agent, with no change to the company itself.
-
02
Foreign qualification
Expand your existing company into another state by registering it to do business there. In US terms, a company is "foreign" in every state other than the one where it was formed.
-

Annual IRS filing
Form 5472 and Form 1120, handled each year for foreign owned companies. A missed Form 5472 carries a USD 25,000 IRS penalty. US Annual Federal Tax Filing
LLC or corporation
Two structures. Different tax outcomes. One right fit.
The deciding factors are where your work is performed and how your home country treats the company.
LLC
Best for solo founders and small teams whose clients and work are mostly outside the United States.
Advantages
No US tax at the entity level. With no US office, staff or agents, there is often no US federal income tax at all. Simple to run, and it can elect corporate taxation later.
Considerations
Form 5472 every year, with a USD 25,000 penalty if missed. Some countries, Canada included, treat an LLC as a corporation, which can mean double taxation. Less suited to outside investors.
Corporation (C Corp)
Best for companies with real US operations, outside investors, or plans to reinvest profits.
Advantages
A flat 21% federal tax and no personal US return for the owner. Investors, banks and processors expect it. Profits can stay in the company.
Considerations
Taxed twice: at the company, then 30% withholding on dividends, often 5 to 15% under a treaty. More formalities: bylaws, directors, records. Form 5472 still applies at 25 percent foreign ownership or more.
In short
An LLC for foreign owners with no US operations. A corporation once there is real US activity or outside investment. Two questions decide it: where the work is performed, and how your home country treats the entity.
This information is general and is not tax advice. We recommend confirming your structure with a cross border tax advisor before you form.

The penalty a missed Form 5472 carries
Formation, agent renewal, compliance and our coordination fee are quoted in writing after the consultation. State fees vary by state.
After formation
Forming the company is the first filing,
not the last.
Every US company with a foreign owner must file an annual federal return with the IRS, even with no income or activity. A single member LLC files Form 5472 with a pro forma Form 1120. A multi member LLC files Form 1065 with a Schedule K-1 for each member. A corporation files Form 1120. The penalty for a missing Form 5472 is USD 25,000 per form, per year.
Your state has its own calendar: an annual report or franchise tax, with its own fee and due date, and a registered agent that must stay in place for the company to remain in good standing. Both are routine when they are diarised and expensive when they are not. We handle them as two services, together or on their own.

Advisory N9 acts as a coordination service. We are not authorised to practise law or to provide legal, tax, or financial advice, and we are not a bank, a payment institution, or a money transmitter. 02
Which state should I form in?
Wyoming and Delaware are the most common choices for foreign owners. Wyoming is known for low annual costs and no state income tax, while Delaware is the standard for companies planning to raise investment. If you will have an office or staff in a particular state, your company will usually need to be formed or registered there. We confirm the right state with you before filing.
03
Can I open a US bank account without travelling?
Often, yes. Many traditional US banks require an in person visit, but a growing number of banks and financial platforms open accounts remotely for foreign owned companies with an EIN. Approval depends on the bank, your business and your documents, and we coordinate the application with the options that fit your profile.
04
What does the company require each year?
Three things keep a US company in good standing: renewing the registered agent, filing the state annual report where your state requires one, and, for foreign owned companies, the annual IRS filing of Form 5472 with Form 1120. Our Annual Compliance and Annual IRS Filing services cover all three.
05
Does a US company give me residency or the right to work in the US?
No. Owning a US company does not, by itself, grant a visa, residency or permission to work in the United States. It gives you a US legal entity to sign contracts, invoice clients and receive payments.
The wrong choice means re forming later, moving bank accounts, and explaining the change to counterparties. We assess your purpose, your privacy requirements and your banking needs before anything is filed, and jurisdictions not listed here are available on request.

Compliance calendar per company, managed yearly
Each jurisdiction is quoted in writing: formation, agent or office, annual compliance and our coordination fee.
After formation
The company is formed once.
It is maintained every year.
A US company with a foreign owner files an annual federal return even with no income: Form 5472 with a pro forma 1120 for a single member LLC, Form 1065 with Schedule K-1 for a multi member LLC, Form 1120 for a corporation. A missing Form 5472 costs USD 25,000 per form, per year. The state adds its own annual report or franchise tax and requires a registered agent to stay in place.
Every other jurisdiction we form in has an equivalent: an annual government fee, a registered agent or resident agent renewal, and in several cases an economic substance or beneficial ownership filing. We diarise all of it before the company is formed, and we tell you the running cost in the proposal, not after the first renewal notice.

Foundations and Trusts
Assets separated from their risks.
Explore
Foundations and Trusts
The Private Interest Foundation and the Panama Trust hold wealth apart from your personal estate.
Protected from claims, passed on your terms, outside public records.
These structures separate legal ownership from benefit. The assets sit inside the structure. The people you choose receive them, on the terms you set, without a public record of who they are.
Private Interest Foundation
An entity with no owners. Governed by Law 25 of 1995, it combines the strengths of a corporation and a trust in one vehicle.
- The charterPublic
- Registered with Panama's Public Registry. It creates the foundation and names no beneficiaries.
- The regulationsPrivate
- Private, never filed. They set the beneficiaries, the conditions and the distribution rules.
- The councilAnd protector
- A council manages the assets under the regulations. An optional protector, chosen by you, oversees the council.
Panama Trust
Confidential by construction.
A settlor transfers assets to a trustee, who manages them for the beneficiaries you designate.
Unlike a foundation, a trust requires no registration in the Public Registry at all. Nothing about it enters any public record.
Governed by Panama's trust law.
What they are used for
Six jobs, done quietly.
The same structures, applied to different problems.
-
01
Creditor and divorce protection
Assets inside the structure are not the founder's personal property, which keeps them out of reach of future claims and proceedings.
-
02
Generational transfer
Wealth passes on your terms, to the people you name, without probate across borders.
-
03
Holding international assets
Real estate, investment portfolios and corporate shares held in one governed vehicle.
-
04
Conditional distributions
Assets released only when the conditions you set are met: an age, a milestone, a circumstance.
-
05
Philanthropy
Charitable giving structured and sustained beyond a single lifetime.
-
06
Panama residency property
Confidential ownership of Panamanian real estate used as a residency qualifying investment.
Key benefits
Protection the law writes in.
Each benefit is statutory, not structural improvisation.
-
01
Asset protection
The foundation has no owners, so its assets are not reachable for the personal debts of the founder, council, protector or beneficiaries. Protection strengthens further once assets have been in the foundation for three years.
-
02
Confidentiality
Beneficiaries exist only in the private regulations or trust deed, never in public documents. Nominee founders and council members are available, within modern KYC standards.
-
03
No inheritance tax
Panama levies no inheritance tax on foundation assets and no tax on foreign income.
-
04
Perpetual existence
A foundation can exist indefinitely, serving multiple generations beyond the founder's life.
-
05
USD 10,000 patrimony
The declared initial patrimony. It can be increased at any time.
-
06
USD 400 a year
The foundation's annual franchise tax, its one mandatory recurring payment.
Foundation, trust, or both
The answer depends on four things.

Yes. Confidential ownership of a qualifying property is a common use, and we align the structure with the residency filing.

Bank Account Opening
The step most people underestimate.
Explore
Bank Account Opening
Opening a Panamanian account as a foreign client takes preparation, the right introduction, and a file that passes compliance.
We manage all three.
Opening one as a foreign non resident is genuinely demanding: compliance requirements have tightened, rejections for non residents are real, and arriving unprepared, without an introduction and with an incomplete file, is the most common reason applications stall.
Personal and corporate
Two accounts, two jobs. Most established clients end up holding both.
- PersonalFor residents and applicants
- For residency applicants and new residents: the deposit route where it applies, daily banking, and receiving income in Panama.
- CorporateFor Panama companies
- For Panama companies: operations, invoicing and dollar settlement, opened alongside or after formation.
We work with a select group of partner banks with demonstrated track records with foreign clients, English speaking compliance teams, solid online banking, and clear onboarding procedures.
The approach
Every introduction is warm, never cold.
You arrive as an expected client, not an unknown walk in.
Before your appointment, your document profile is reviewed and prepared by our team. Your attorney provides a formal introduction letter confirming your status. The bank's compliance department receives your profile in advance. This single difference changes the outcome more than any other factor in the process.

02
Can I open an account without travelling?
Some banks onboard remotely. Most still want one in person meeting. We confirm per bank and, where a visit is needed, book it into one coordinated trip.
03
Why are non residents rejected?
Incomplete files and unexplained funds, almost always. Preparation and a warm introduction address both.
04
Which bank will I be introduced to?
We match from our partner banks by your profile and purpose. The bank's compliance department makes the final decision.
05
Do I need residency first?
No, though a residency application strengthens the file, and the deposit route requires the account before the visa. Sequencing is part of the plan we set in the consultation.
06
Is approval guaranteed?
No. Accounts are approved by the bank's own compliance department. Our work is to present a file that deserves approval.

US Annual Federal Tax Filing
Every foreign owned US company files. Even with no income.
Explore
US Annual Federal Tax Filing
Every US company with a foreign owner must file an annual federal return with the IRS, even if the company had no income or activity.
The forms depend on how the company is set up.
Your return is prepared, signed and filed by our partner US Certified Public Accountant.
US federal filings: Form 5472 and pro forma 1120 (single member LLC, foreign owner). Form 1065 and Schedules K-1 (multi member LLC). Forms 8804 and 8805 for foreign members quoted separately if applicable.
Which return is yours
Three structures, three different returns.
- Form 5472Single member LLC, non US owner
- Form 5472 filed with a pro forma Form 1120. This is a report only. No tax is calculated or paid.
- Form 1065Multi member LLC
- Form 1065 partnership return, with a Schedule K-1 issued to each member. The LLC pays no federal tax. Each member reports their share. If the LLC has US business income allocable to foreign members, it must also withhold tax and file Forms 8804 and 8805, quoted separately.
- Form 1120C Corporation, or LLC taxed as one
- A full Form 1120 corporate tax return. This is an actual tax return that reports income and calculates tax owed, 21% federal. If the company is 25% or more foreign owned, Form 5472 is attached.
No income? You still file
The obligation follows transactions,
not profit.
The filing obligation depends on transactions between the company and its owners, not on profit. Capital contributions, withdrawals, loans, and company expenses paid personally by the owner are all reportable. One of the most common and costly assumptions is: "My company had no US income this year, so there is nothing to file."
Penalties
What a missed filing costs.
One missed Form 547201
USD 25,000
Per form, per year, for a single member LLC or corporation. Still missing 90 days after an IRS notice: another USD 25,000 for every 30 days.
A late Form 106502
Every member, every month
A partnership return filed late is penalised for each member, for each month it stays late.
Scope of service
A basic filing service.
Nothing more, and nothing hidden.
This is a basic filing service only. It does not include bookkeeping, accounting, financial statements, tax planning, or state filings. You provide your company details, year end financial figures, and a summary of transactions between the company and its owners or related companies, such as capital contributions, loans and distributions. Your return is prepared, signed and filed by our partner US Certified Public Accountant.

When is my first filing due
It depends on when the company was formed.
Federal and state filings are separate.
Formed01
On or before 31 December 2025
Your first federal return, for 2025, was due 15 April 2026 (15 March 2026 for multi member LLCs). If an extension was filed, the deadline is 15 October 2026 (15 September for multi member LLCs). If nothing was filed, the return is now past due. Contact us to file it. Your next return, for 2026, is due 15 April 2027.
Formed02
On or after 1 January 2026
Your first federal return covers 2026, even if the company was formed late in the year. It is due 15 April 2027 (15 March 2027 for multi member LLCs).
Federal and state filings are separate. Your state also requires an annual report or tax, with its own fees and due dates, usually starting the year after formation. For LLCs: Florida 1 May, Delaware 1 June, and Wyoming the first day of your formation anniversary month. State filings are covered by our Corporate Annual Compliance service. Past due years
Missed a filing?
It can be reconstructed.
We can reconstruct past years from your bank statements and file them. Penalty relief depends on the facts of each year and is assessed by the reviewing CPA. We do not promise an outcome. Past due years are quoted separately.

02
My company had no US income. Do I really have to file?
Yes. The obligation follows transactions between the company and its owners, not profit. A capital contribution, a loan, or an expense you paid personally is enough to make the year reportable.
03
What do you need from me?
Your company details, year end financial figures, and a summary of transactions between the company and its owners or related companies. One upload link, one checklist.
04
Does an extension give me more time to pay?
No. Form 7004 extends the filing date only. A C Corporation that owes tax still pays by 15 April.
05
Is my state annual report included?
No. State filings have their own fees and dates and are handled under Corporate Annual Compliance, which you can add to this service.

Corporate Annual Compliance
A company is formed once. It is kept every year.
Explore
Corporate Annual Compliance · Panama · United States
A Panamanian corporation needs a licensed resident agent, its annual Tasa Única paid, and its beneficial owner information on file.
A US company needs a registered agent in its state of formation and, in most states, an annual report with a fee or franchise tax.
Miss either and the company loses good standing, quietly, until a bank, a buyer or a registry asks for a certificate. We keep the calendar, file on time and remind you before each deadline.
The problem
Nothing reminds you.
The penalty arrives anyway.
Miss a date in Panama and the surcharges, fines and loss of good standing follow: no paz y salvo, and the bank account and operations at risk. Miss one in the United States and the state removes good standing, adds penalties and can dissolve the company.
The federal return is a separate obligation on a separate date, with its own USD 25,000 penalty. None of this is difficult. All of it is forgettable, which is the point of the service. US Annual Federal Tax Filing
What we handle
Agent, report, tax, records.
The four things that keep a company alive.
Panama
Keep your Panamanian company in good standing.
Every Panamanian corporation must meet annual obligations to stay active. It needs a licensed resident agent, has to pay the annual Tasa Única to the DGI, and must keep its beneficial owner information on file with the Superintendency of Non Financial Entities (SSNF). Together with our partner law firm, we handle it for you:
- Resident agent service, including the due diligence required under Panamanian law
- Beneficial owner compliance reports filed with the SSNF
- Payment of your annual Tasa Única to the DGI on your behalf
- Advance reminders before each deadline, so no new surcharges or fines arise
- Catch up for companies that have fallen behind: we settle outstanding balances, surcharges and fines, including the penalty for not updating the RUC, and obtain your paz y salvo
- Change of resident agent if you want to move from your current provider
Government taxes and fees are paid with your funds and are separate from our service fee.
United States
Keep your US company active and compliant.
A US company must keep a registered agent in its state of formation, and most states require an annual or biennial report along with a state fee or franchise tax. We handle it for you:
- Registered agent renewal, with the fee paid on your behalf
- Preparation and filing of your state annual report
- Payment of state fees and franchise taxes from the funds you transfer
- Advance reminders before each deadline
- Reinstatement of companies that have fallen out of good standing
- Change of registered agent if you want to move from your current provider
State fees and taxes are paid with your funds and are separate from our service fee. Pair this with our US Annual Federal Tax Filing service to cover your federal obligations as well. US Annual Federal Tax Filing

02
Is this the same as the federal tax filing?
No. The state wants an annual report and a registered agent. The IRS wants a federal return. Different authorities, different dates, different penalties. This page covers the state and Panama side. The federal return is here: US Annual Federal Tax Filing
03
My company has done nothing this year. Do I still file the annual report?
Yes. The state report is about the company's existence, not its activity. It is due whether or not the company traded.
04
What happens if I miss it?
Late fees first, then loss of good standing, then administrative dissolution. In Wyoming that can follow sixty days after the due date. Reinstatement is possible but costs more than filing on time.
05
Can you take over a company you did not form?
Yes. We need the formation documents and the current agent details, and we start from the next deadline. A company already out of good standing is quoted separately.
06
Do you cover the Panama S.A. as well?
Yes. The Tasa Única and the resident agent renewal sit on the same calendar, and we obtain Public Registry certificates when a bank or counterparty asks. Panama S.A.

Invoicing Services
Your international business, running through Panama.
Explore
Invoicing Services
Your Panama S.A. invoices foreign clients and receives payments into its own account.
We run the administration monthly, so the records always match the money.
What it is
The simplest use of the territorial system.
Once your Panama S.A. is formed and banked, it can invoice clients and receive payments from anywhere.
Income invoiced by a Panama S.A. to clients located outside Panama, for services performed outside Panama, is foreign source income and is not subject to Panamanian corporate income tax. The USD 300 annual franchise tax is the company's only mandatory fiscal obligation on that income.
What the service includes
The whole invoicing operation, run monthly.
You do the work. The company's paperwork does not wait for you.

A framework, not a loophole.

02
Is this legal tax planning?
Yes. Panama taxes Panamanian source income. Income invoiced to foreign clients for work performed abroad sits outside that net by law. Your home country's rules still apply, and we coordinate with qualified tax professionals where they do.
03
Do you hold my money?
No. Payments go into your company's own bank account. We prepare the invoices and keep the records. We never hold or transmit funds.
04
What does the bank see?
An invoice that matches every payment. That match is what keeps transfers moving and accounts open.
05
What if some of my work is in Panama?
Panama source income follows ordinary Panamanian tax rules. Mixed activity is designed with the partner accounting firm before invoicing starts.
06
Do I need the company and account first?
Yes. We form the S.A. and coordinate the account as part of one engagement. Panama S.A. · Bank Account Opening

Tax Structure Consulting
Territorial tax is real. Making it work takes structure.
Explore
Tax Structure Consulting
Panama does not tax foreign source income.
That rule is genuine and more than a century old.
It only works when the structure is designed correctly, maintained properly and coordinated with your obligations at home. We connect you with licensed Panamanian tax advisors and, where needed, their counterparts in your home country.
Why this matters
Forming a company
is not a tax plan.
Panama's territorial system exempts foreign source income from local tax. This is not a grey area or an aggressive position. It is the foundation of the Fiscal Code. But using it properly requires answers to five questions most providers never ask.
-
01
How is your income sourced under Panamanian law?
Where work is performed and where clients sit decides what is foreign source, and the answer is not always obvious.
-
02
What does your home country require when you set up a foreign structure?
Most countries ask you to report a foreign company you control, and some tax its profits as if they were yours. The answer decides whether the structure helps or hurts.
-
03
Do your specific business activities qualify as foreign source?
Services delivered from Panama to clients abroad are usually foreign source. Goods sold into Panama, or work done for Panamanian clients, are not.
-
04
How do controlled foreign corporation rules at home affect a Panama entity?
Where controlled foreign corporation rules apply, a Panama entity you control can be taxed at home whatever the source of its income.
-
05
What must be filed each year, in Panama and at home, to keep the structure clean?
A Panama corporation has its own annual obligations, and your home country usually wants a disclosure or a return. Both calendars have to be kept.

We do not hold or transmit funds on behalf of clients. The contents of this website are for informational purposes only, do not constitute advice of any kind, and do not form part of any engagement. The terms of any engagement are set out separately in writing.
02
Is Panama's territorial system legal?
Yes. It is the foundational principle of Panama's Fiscal Code, not a loophole. What matters is whether your income genuinely qualifies as foreign source and whether your home country's rules are respected alongside it.
03
Will a Panama company eliminate my taxes at home?
Not by itself. Most countries tax their residents or citizens on worldwide income, and some look through foreign companies entirely. That is exactly why the home country side is part of every engagement.
04
Who actually advises me?
Panamanian licensed tax advisors at our partner accounting firm, and for cross border questions, qualified professionals in your home jurisdiction. Advisory N9 coordinates the engagement.
